1. Agreement to Terms

By accessing or using PrepSheet Pro ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

PrepSheet Pro is a web-based business management platform designed for personal chefs and catering professionals. The Service provides tools for managing clients, recipes, orders, invoicing, and related business operations.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 18 years old to create an account. By creating an account, you represent that you are at least 18 years old.

4. Subscription and Payment

4.1 Free Trial

We offer a 14-day free trial for new users. No credit card is required to start the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

4.2 Subscription Plans

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method at the applicable rate.

4.3 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at your next billing cycle.

4.4 Refunds

We offer a 30-day money-back guarantee for first-time subscribers. After 30 days, subscription fees are non-refundable. You may cancel your subscription at any time, and you will retain access until the end of your current billing period.

5. User Data and Content

5.1 Your Data

You retain all rights to the data and content you input into the Service ("User Content"). We do not claim ownership of your User Content.

5.2 License to Us

By using the Service, you grant us a limited license to host, store, and display your User Content solely for the purpose of providing the Service to you.

5.3 Data Backup

While we perform regular backups, you are responsible for maintaining your own backups of important data. We recommend using the data export feature regularly.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use automated means to access the Service without permission
  • Impersonate others or misrepresent your affiliation
  • Collect user information without consent

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by PrepSheet Pro and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

8. Third-Party Services

The Service may integrate with third-party services (e.g., Stripe for payments). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREPSHEET PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Service interruptions or errors
  • Unauthorized access to your data
  • Any third-party conduct on the Service

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF RESULTS

11. Indemnification

You agree to indemnify, defend, and hold harmless PrepSheet Pro and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

12. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • You may export your data before termination takes effect
  • We may delete your data after 30 days

You may terminate your account at any time through your account settings or by contacting us.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. You agree to waive your right to participate in class actions.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrepSheet Pro regarding the Service.
